Terms of Service

These Terms of Service ("Terms") govern your access to and use of Crenel (the "Service"), which is operated by Crenel FL LLC. By accessing or using the Service, you agree to be bound by these Terms.
Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher) to use the Service. By accessing or using the Service, you represent and warrant that you meet this age requirement. You must also be legally capable of entering into these Terms and must comply with applicable laws in your use of the Service. The Service is not intended for, and may not be used by, anyone under 18.
Account and Authentication
The Service supports multiple sign-in methods, including email, single sign-on (SSO) providers, and third-party social platforms. You may link multiple social media accounts to enable cross-platform functionality. You are responsible for your activity on the Service and for maintaining the security of all linked accounts and credentials.
Acceptable Use
You agree not to misuse the Service, including but not limited to: interfering with its normal operation; attempting to access non-public areas; reverse engineering; using it to violate others' rights; using automated tools to abuse Service features; using crossposting features to distribute spam or circumvent platform rate limits; violating the terms of service of any connected platform; or breaching applicable laws and regulations.
Content and Data
The Service works with your public social data, linked account data, and any content you create or authorize for automated republication. You retain any rights you have in your content. You grant the Service a limited right to process, adapt, and republish your content as necessary to provide the features you use, including automated cross-platform posting and content transformation for platform compatibility.
Content Storage and Retention
The Service is not a content storage, backup, or archival service. You should not rely on the Service to store, preserve, or maintain any content, including but not limited to uploaded media or any other user-generated materials. We make no guarantees regarding the availability, retention, or preservation of any content you create, upload, or store through the Service. We reserve the right to delete, remove, or modify any content at any time, for any reason or no reason, without prior notice to you. Upon termination of your account or the Service (whether by you or by us), your content may be immediately and permanently deleted without any obligation to provide copies or backups. You are solely responsible for maintaining your own copies and backups of any content you consider important.
User-Generated Content and Platform Role
Crenel acts solely as an intermediary platform that enables you to create and auto-publish content to third-party platforms. We are not the publisher, speaker, or creator of content that you generate or post through the Service. You are solely responsible for your content and any consequences of posting it, regardless of whether such content is stored on our systems or transmitted to any third-party platform or service. We do not pre-screen, monitor, edit, or control user content, and we make no representations or warranties regarding the accuracy, quality, legality, or appropriateness of any user content. To the fullest extent permitted by applicable law, we disclaim all liability for any user content and shall not be held liable for any claims, damages, or losses arising from or related to user-generated content posted through, facilitated by, or stored on the Service. This includes but is not limited to claims of defamation, copyright infringement, trademark infringement, privacy violations, intellectual property disputes, or any other harm allegedly caused by user content. You agree that we have no obligation to monitor, review, or remove any user content, and that any action or inaction on our part regarding user content does not create any duty or liability.
Third-Party Services and Platforms
The Service integrates with supported third-party platforms, currently including Farcaster, X (Twitter), Mastodon, and Bluesky. When you link an account or use features that interact with these platforms, you authorize the Service to act on your behalf as necessary to provide those features. Platform availability may change due to third-party API changes, pricing modifications, or other factors outside our control. You are responsible for ensuring your use complies with the terms of service of each third-party platform. We do not guarantee successful delivery of content to third-party platforms and are not responsible for any actions taken by those platforms regarding your content or account.
Crossposting
The Service may offer automated cross-platform posting features ("Crossposting"). By enabling Crossposting, you authorize the Service to automatically detect new public posts on your designated source platform and republish them to your connected destination platforms. Content may be adapted to meet the requirements of each destination platform. You are solely responsible for all content published via Crossposting, the same as content you post manually. Only public posts are processed; non-public content is never crossposted. Crossposting can be disabled at any time through your account settings.
Fees
Crenel is currently offered free of charge. All usage is subject to fair-use limits, meaning use that is reasonable for individual or small-team social media management. The Service reserves the right to throttle or suspend accounts engaging in automated bulk posting, spam, or behavior that causes disproportionate infrastructure load. We reserve the right to introduce paid features or subscription tiers in the future, with reasonable notice provided before any charges take effect.
Platform Compliance
You are solely responsible for ensuring that your cross-posting activities comply with the terms of service, developer agreements, and content policies of each connected platform. The Service acts as your authorized agent to perform actions you configure, but makes no guarantees that cross-posting is permitted by all platforms at all times. Platform terms may change; you assume the risk of such changes. You represent that you have the right to cross-post any content you configure for crossposting.
Third-Party Content
When features for relaying reposts, retweets, or boosts are enabled, the Service shares only a link to the original content. The Service does not reproduce, rephrase, or repost another user's text, media, or other intellectual property. You acknowledge that even sharing links to third-party content may be subject to platform terms and applicable law.
Availability and Changes
The Service is provided on a best-effort basis and may change or be discontinued at any time without notice. Features may be added, modified, or removed.
Disclaimers
EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on implied warranties, so some of the above exclusions may not apply to you. In those jurisdictions, our warranties are limited to the minimum extent permitted by law, and you may have additional rights that cannot be waived under mandatory consumer-protection law.
Editorial and Comparison Content
The Service may publish comparison pages, blog posts, "alternative to" pages, and other editorial content that references third-party products, services, or companies. All such content represents the editorial opinions of Crenel FL LLC and is provided for informational and educational purposes only. This content is not endorsed by, affiliated with, or sponsored by any third-party company referenced. Feature comparisons and pricing information for third-party products are based on publicly available information at the time of writing and may become outdated or inaccurate. Third-party product names, logos, and trademarks are the property of their respective owners. We make no warranties regarding the accuracy, completeness, or timeliness of information about third-party products. You should independently verify any claims before making purchasing decisions. We are not responsible for any errors, omissions, or changes in third-party products or pricing.
Data and Analytics
The Service may provide analytics, metrics, reputation scores, and other data derived from third-party sources, including but not limited to Neynar and Ethos reputation scoring services. While we strive to provide accurate information, all data, including reputation scores, follower counts, engagement metrics, and trend data, is provided for informational purposes only. You acknowledge that: (a) data may be subject to delays, inaccuracies, or limitations inherent in third-party sources; (b) metrics and scoring methodologies may change based on third-party updates outside our control; (c) past data does not guarantee future results; (d) you are responsible for your own decisions; and (e) we shall not be liable for any decisions or consequences resulting from your use of the Service's data. Sharing features, including shareable image snapshots of your analytics data, are provided as a convenience and may include data visible to recipients. We recommend consulting with appropriate professionals for significant decisions.
Limitation of Liability
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) any other liability that cannot be excluded or limited under applicable law.
Subject to the foregoing, to the maximum extent permitted by law: (i) in no event will Crenel FL LLC or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages and regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise); and (ii) our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (A) one hundred U.S. dollars (USD $100), or (B) the amounts you paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim.
You acknowledge that these limitations are a fundamental basis of the bargain between you and Crenel FL LLC and that we would not provide the Service without them. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the minimum extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Crenel FL LLC from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
Governing Law
These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Nothing in this section deprives you of the protections afforded by the mandatory consumer-protection laws of your country of residence.
Dispute Resolution; Arbitration
Informal Resolution. Before filing any formal dispute, you agree to first contact us at legal@crenel.xyz and describe the dispute, what you have done to try to resolve it, and the relief you are seeking. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days before either party initiates arbitration or files a small-claims action.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (available at adr.org). The arbitration shall be conducted by a single arbitrator, in English. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement, and may award any relief that a court of competent jurisdiction could award, including monetary damages, declaratory relief, and injunctive relief on an individual basis. The arbitrator's award is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. AAA administrative fees and arbitrator compensation are allocated according to the AAA Consumer Arbitration Rules.
Seat and Venue. The seat of arbitration shall be Pinellas County, Florida. Hearings may be conducted remotely, or, at your election, in the U.S. county where you reside.
Small-Claims Exception. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction, in lieu of arbitration.
Intellectual Property Exception. Either party may bring an action in a court of competent jurisdiction to seek injunctive or other equitable relief to protect its intellectual property rights (including copyrights, trademarks, patents, and trade secrets), without first engaging in informal resolution or arbitration.
Class and Representative Action Waiver. You and Crenel FL LLC agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this Class and Representative Action Waiver is found to be unenforceable with respect to a particular claim or request for relief, that claim or request must be severed and brought in a court of competent jurisdiction, and all other claims will remain in arbitration.
30-Day Right to Opt Out. You may opt out of this arbitration agreement. To do so, send an email to optout@crenel.xyz within thirty (30) days of first accepting these Terms (or, for existing users, within thirty (30) days of the effective date of this provision). The email must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect your access to or use of the Service. If you opt out, neither party will be required to arbitrate disputes; the Governing Law section will apply and disputes may be brought in court.
Jury-Trial Waiver. If for any reason a claim proceeds in court rather than in arbitration, you and Crenel FL LLC each waive any right to a jury trial to the fullest extent permitted by law.
Survival. This Dispute Resolution section survives termination of these Terms and your use of the Service.
Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time.
Changes to These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to provide notice, such as updating the date above or notifying within the app.
Electronic Acceptance and Communications
By accessing or using the Service, you agree that any electronic communications, agreements, notices, disclosures, and other records we provide to you electronically satisfy any legal requirement that such communications be in writing. You consent to receive all communications from us in electronic form, including by email to the address associated with your account, by in-app notification, or by posting on the Service.
Export and Sanctions Compliance
The Service is controlled and operated from the United States and is subject to U.S. export control and economic sanctions laws. You represent and warrant that you are not: (a) located in, or a resident or national of, any country or region subject to a comprehensive U.S. embargo (currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); or (b) listed on any U.S. Government list of prohibited or restricted parties, including the Specially Designated Nationals and Blocked Persons List maintained by the U.S. Treasury Department's Office of Foreign Assets Control. You agree not to access, use, or export the Service in violation of any applicable export control or sanctions law.
Force Majeure
Neither party shall be liable for any failure or delay in performance (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, labor shortages, power or telecommunications outages, internet service provider failures, denial-of-service attacks, or failures, changes, or suspensions of third-party platforms, APIs, or services on which the Service depends.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section shall be void. We may assign or transfer these Terms, in whole or in part, without restriction, including to any affiliate or to a successor in interest in connection with any merger, acquisition, reorganization, financing, or sale of all or substantially all of our assets.
Entire Agreement; No Waiver
These Terms, together with our Privacy Policy and any other legal notices or supplemental terms published by us on the Service, constitute the entire agreement between you and Crenel FL LLC regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof. No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise shall preclude any other or further exercise of that right or any other right.
Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. The invalidity or unenforceability of any provision in any jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction or of any other provision in any jurisdiction.
